Lo scritto richiama, in estrema sintesi, le finalità della tutela prevista dal legislatore con l'introduzione dell'art. 2409 cod. civ. L'attenzione è rivolta alla tutela dell'interesse alla corretta gestione dell'impresa che trova una particolare conferma nella legittimazione attiva che l'ultimo comma dello stesso art. 2409 riconosce al Pubblico Ministero. In tale contesto si pone in particolare la questione se l'intervento sul Pubblico Ministero da parte del collegio sindacale debba essere inteso come obbligo o come facoltà.
Abstract
The essay summarizes the aims the Italian legislator has pursued in 1942 introducing the article 2409 of Civil Code. The attention is focused on the protection of interest in the fair business management, especially concerning the legitimation of the Public Prosecutor according to the last sub-section of 2409. In this context the question is whether the denunciation to the Public Prosecutor by the board of control has to be considered compulsory or merely optional.
